- Terms of Payment. All payments due are in UK Pounds Sterling, by cheque or postal order. Payment must be made in full prior to start of sponsorship.
- Booking Confirmation. No sponsorship booking can be made on a provisional basis. To confirm a booking, payment must be made in full prior to the start of any sponsorship.
- Start Date. The sponsorship will start on the next available date.
- Home Page Sponsorship. A sponsorship period on the home page is equal to 14 days. There will be a gap of at least 1 period between reruns of a sponsorship. Each sponsor is limited to no more than 6 periods in any 12-month period. The format will be a combination of text and image, laid out and positioned by Loud-n-Clear.com Ltd. The image size must not exceed 100 pixels wide x 160 pixels high or 240 pixels wide x 120 pixels high. The image must be supplied as a JPEG or GIF file with the file size not exceeding 10kb. There is a maximum of 20 words.
- Category Sponsorship. A sponsorship period on any page other than the Home Page is equal to one calendar month. Sponsorship can be booked for up to 12 months at a time. Banners will be text based, laid out and placed by Loud-n-Clear.com. Sponsors company logo can be added if requested, at an additional cost.
- Provision of Sponsorship Materials. Unless otherwise agreed, Sponsors will provide all sponsorship materials to Loud-n-Clear.com Ltd to sponsor@craftfair.co.uk, or such other address as Loud-n-Clear.com Ltd may specify from time to time.
- Right to Reject Advertisement. All sponsorships are subject to Loud-n-Clear.com Ltd's approval. Loud-n-Clear.com Ltd reserves the right to reject, without explanation, any sponsorship, Order Form, or URL link, at any time, for any reason whatsoever (including, but not limited to, belief by Loud-n-Clear.com Ltd that any sponsorship thereof may subject Loud-n-Clear.com Ltd to criminal or civil liability).
- Termination. Loud-n-Clear.com Ltd shall have the right to terminate any sponsorship (and this Agreement), with or without cause, at any time. Beginning on the first day of sponsorship period, Sponsors may terminate a sponsorship by written notice to Loud-n-Clear.com Ltd to sponsor@craftfair.co.uk. Loud-n-Clear.com Ltd will remove the sponsorship within 10 working days of receipt of the cancellation notice and will give a pro-rata refund for each complete period outstanding less the administration fee of £10.00 +VAT. Loud-n-Clear.com Ltd shall have the right to terminate sponsorship that it reasonably believes may subject Loud-n-Clear.com Ltd to criminal or civil liability. In such a case, Loud-n-Clear.com Ltd will provide Sponsor a written explanation of its decision and the basis therefore, and refund pro-rata less the administration fee of £10.00 +VAT
- Jurisdiction. These terms and conditions shall be construed & governed by English law.
- Copyright. The sponsor warrants that the sponsor owns the copyright of any materials provided to Loud-n-clear.com Ltd in relation to the sponsorship and will indemnify Loud-n-clear.com Ltd against any claim arising from the publication thereof. The sponsor also grants Loud-n-clear.com Ltd the license to reproduce, display and transmit the material in electronic form on the website and to use screen shots of the sponsorship to market and advertise itself.
- Indemnity. The sponsor will indemnify Loud-n-clear.com Ltd and keep it indemnified against any liabilities relating to any virus, worm, contaminated file or Trojan horse originating from any linked area.
- No Warranty. LOUD-N-CLEAR.COM LTD DOES NOT WARRANT THAT LOUD-N-CLEAR.COM LTD'S DELIVERY OF SERVICES OR SPONSORSHIPS HEREUNDER WILL BE ERROR-FREE, UNINTERRUPTED OR CONTINUOUS. IN NO EVENT SHALL LOUD-N-CLEAR.COM LTD BE LIABLE UNDER THIS AGREEMENT FOR ANY CONSEQUENTIAL, SPECIAL, INDIRECT, EXEMPLARY, PUNITIVE, OR OTHER DAMAGES, INCLUDING BUT NOT LIMITED TO, DAMAGES FOR LOSS OF DATA, LOST PROFITS, LOSS OF BUSINESS.
